Key responsibilities:

1] Contract Drafting and Negotiation

Draft, review, negotiate, and finalize various commercial contracts, including:

  • Supply and procurement agreements;
  • Manufacturing and contract manufacturing agreements;
  • Distribution and marketing agreements;
  • Technology transfer agreements;
  • Clinical trial agreements;
  • Confidentiality and Non-Disclosure Agreements (NDAs);
  • Service agreements and consultancy contracts;
  • Licensing and collaboration agreements;
  • Vendor and customer contracts;
  • Banking Agreements and M&A transaction agreements (Optional).

Lead contract negotiations with domestic and international counterparties.

Ensure contract terms adequately protect the Company's legal, commercial, and reputational interests.

Provide practical legal solutions to facilitate business objectives while managing legal risks.

Develop and maintain standard contract templates and playbooks.

2] Legal Risk Management

Identify and assess contractual, commercial, and regulatory risks.

Advise business stakeholders on risk allocation, liability provisions, indemnities, warranties, limitation of liability, intellectual property, and dispute resolution clauses.

Ensure consistency of contractual terms with Company policies and risk management guidelines.

Escalate significant legal and commercial risks to senior management where appropriate.

3] Stakeholder Support

Work closely with Procurement, Commercial, Manufacturing, R&D, Quality, Regulatory Affairs, Finance, and Supply Chain teams.

Provide legal support during vendor selection, tendering processes, and commercial negotiations.

Advise internal stakeholders on contractual rights, obligations, and compliance requirements.

4] Compliance and Governance

Ensure contracts comply with applicable laws, regulations, and industry standards.

Support implementation of contract governance and approval processes.

Maintain accurate contract records and monitor contractual obligations.

Assist in legal and compliance audits related to contracting activities.

5] Process Improvement

 

Drive efficiency in contract lifecycle management.

 

Develop and deliver contract-related training programs for business teams.

 

Monitor legal developments affecting commercial contracting within the pharmaceutical industry.
